NOTIFICATION ON PRE-EMPTIVE RIGHT OF SHAREHOLDERS OF JOINT STOCK COMPANY "MORTGAGE REFINANCING COMPANY OF UZBEKISTAN".

Joint Stock Company "Mortgage Refinancing Company of Uzbekistan" (hereinafter - JSC "UzMRC") informs that in accordance with the decision of the meeting of the Supervisory Board No. 15 dated 22 December 2023 issued 808,100,000 (eight hundred and eighty million) ordinary shares with a nominal value of UZS 1,000 (one thousand) with indication of the name of the owner, and it is also reported that it was registered by the National Agency for Perspective Projects on 15 January 2024 under the number P0912-5.

Articles 35-36 of the Law "On Joint Stock Companies and Protection of Shareholders' Rights", as well as paragraph 4.6 of the Charter of JSC "UzMRC" states that when the company issues additional shares, the company's shareholders have a pre-emptive right to acquire additional shares in accordance with the amount of shares in the company's share capital. The period of validity of the preferential right is set at 10 (ten) days.

In the register of shareholders of JSC "UzMRC", formed as of 22 December 2023, we indicate that existing shareholders have the right to pre-emptive acquisition of additional issued shares of the Company.

A shareholder with pre-emptive right is entitled to fully or partially exercise his pre-emptive right by sending to JSC "UzMRC" an application for the acquisition of shares in writing, specifying his surname (name) and place of residence (location), the number of shares he will receive and a payment document. Such application must be submitted to JSC "UzMRC" within the period of validity of this pre-emptive right.

The procedure for determining the number of shares that each shareholder is entitled to acquire on the basis of pre-emptive right is as follows: A shareholder determines his share of common shares in the total of 132,790,200 common shares previously placed by JSC "UzMRC" and is entitled to receive a share equal to this share from the shares of this issue.

Please be informed that the period of validity of the pre-emptive right starts from 16 January 2024 and is 10 (ten) calendar days.

Waiver of the pre-emptive right in favour of another person is not allowed.

Upon expiry of the pre-emptive right from 26 January 2024, the remaining shares shall be placed to the shareholders and investors specified in Appendix 1 to the Decree of the President of the Republic of Uzbekistan № PD-394 "on measures of financial support of the activities of JSC "Mortgage Refinancing Company of Uzbekistan".

Payments for shares are made in the national currency of the Republic of Uzbekistan only in cash in cash and (or) non-cash form in accordance with the procedure established by the legislation.
